| With one exception, our written consent is not required for any alteration which does not fit within the definition of "regulated alteration" in section 64(2A) of the 1993 Act. The exception is where there is a specific requirement in the memorandum and articles of association to obtain the Commission’s consent to all amendments – this is usually only found in companies formed before 1982 and further guidance is at section 1.2 in OG47 B1. | |
